Порядок приемки Автокомпонентов по количеству | 8. | Procedure of Automotive Components acceptance in terms of quantity |
| Покупатель в одностороннем порядке принимает Автокомпоненты от Перевозчика в соответствии с действующим транспортным законодательством РФ в месте доставки согласно выбранного базиса поставки, в соответствии с п.6.4. настоящих Cпециальных условий ЛАДА Ижевск, по количеству тарных мест при наличии всех, предусмотренных Договором и Специальными условиями ЛАДА Ижевск, документов, проверяет целостность упаковки, подписывает транспортные и товарные накладные. | 8.1 | The Buyer shall unilaterally accept the Automotive Components from the Carrier in accordance with the existent transport laws of the RF at the place of delivery, in accordance with the delivery basis agreed in clause .6.4 of the present LADA Izhevsk LLC Specific terms and conditions, by quantity of package items if all the documents provided by the Contract and LADA Izhevsk LLC Specific terms and conditions are available, check package integrity, sign transport bills and consignment notes. |
| В связи с тем, что правильность отражения в учете поставляемых Автокомпонентов имеет принципиальное значение для Сторон, Покупатель имеет право отказаться от приемки Автокомпонентов, поступивших без документов, либо поступивших в поврежденной или несоответствующей условиям Договора упаковке. | 8.2 | Due to the fact that proper information presenting in accounting of the Automotive Components supplied is essential for the Parties, the Buyer shall be entitled to deny acceptance of Automotive Components delivered without documents or in the damaged or non-conforming packaging. |
| В случае, если Покупатель обнаружил несоответствие Автокомпонентов по количеству тарных мест, выявил повреждение транспортного средства (вагона) пломб, тары и упаковки в момент приёмки Автокомпонентов от Перевозчика, он организует приемку Автокомпонентов в соответствии с нормами транспортного законодательства РФ. В случае доставки Автокомпонентов транспортом Поставщика совместно с водителем осуществляет пересчет Автокомпонентов в поврежденной таре и в местах с нарушенной упаковкой, составляет акт по форме Н-7058 (Приложение № 3 к Специальным условиям ЛАДА Ижевск) о выявленных расхождениях и делает соответствующую отметку о несоответствии в товарно-сопроводительных документах. | 8.3. | Should the Buyer discover the non-conformance of the Automotive Components in terms of quantity of package items, reveal the damage of transport mean (carriage), seals, packaging and packages at the moment of Automotive Components acceptance from the Carrier, the Buyer shall organize the acceptance of the Automotive Components according to the transport laws of the RF. If the Automotive Components are delivered by the Supplier’s transport the Buyer together with driver shall count the Automotive Components in the damaged or disturbed packaging, draw up the Act in H-7058 form (Appendix No. 3 to these LADA Izhevsk LLC Specific terms and conditions) on non-conformances found and make a corresponding note on non-conformance in accompanying documents. |
| В случае недостачи тарных мест по вине Поставщика, Покупатель имеет право принять и оплатить только фактическое количество принятых Автокомпонентов, а также требовать от Поставщика срочной поставки недопоставленных Автокомпонентов в порядке, установленном Специальными условиями ЛАДА Ижевск. | | In case of shortage of package units at the Supplier's fault, the Buyer shall be entitled to accept and pay for only the actual quantity of the Automotive Components only and to request the Supplier to perform an urgent supply of the undelivered Automotive Components according to procedure provided by the LADA Izhevsk LLC Specific terms and conditions. |
| Проверка ассортимента, внутритарного количества и комплектности Автокомпонентов, поступивших в исправной Таре и упаковке, производится работниками Покупателя на основании функциональных обязанностей в одностороннем порядке на складе Покупателя при вскрытии Тары, в течение 30 (тридцати) рабочих дней с даты подписания Покупателем товарно-сопроводительных документов о получении Автокомпонентов. | 8.4. | Range, quantity and completeness of the Automotive Components received in proper packaging shall be unilaterally checked by Buyer’s employees on the basis of their function duties at the Buyer’s warehouse upon opening the packaging, within 30 (thirty) working days from signing the accompanying documents for the Automotive Components by the Buyer. |
| При выявлении несоответствия поставленных Автокомпонентов соответствующему Заказу или Графику по количеству, сроку, времени поставки, указанному Покупателем, ассортименту, комплектности, маркировке, товарно-сопроводительным документам, а также в случаях внутритарных отклонений по количеству в сторону недостачи, излишек, пересортицы Покупатель оформляет «Акт о выявленных отклонениях при приемке продукции» по форме Н-7058 (Приложение № 3 к Специальным условиям ЛАДА Ижевск), Претензию, и в течение 3 (трех) рабочих дней с момента обнаружения несоответствий Автокомпонентов направляет данные документы на электронный адрес Поставщика указанный в разделе 4 «Реквизиты сторон» Договора, либо в ИС Покупателя (EDI) . Поставщик в течение 2 (двух) рабочих дней с момента получения Акта, Претензии указанным выше способом, обязан рассмотреть данные документы и, в случае признания факта несоответствия поставленных Автокомпонентов соответствующему Заказу или Графику, выставить в течение последующих 5 (пяти) календарных дней корректировочный счет – фактуру (для локальных поставок) или кредит-ноту (для импортных поставок) на сумму несоответствующих Автокомпонентов по адресу: 426060, Удмуртская Республика, г. Ижевск, ул. Автозаводская, 5. О принятом решении Поставщик уведомляет Покупателя по адресу электронной почты, указанному в разделе 4 «Реквизиты сторон» Договора, либо в ИС Покупателя (EDI). | | If the supply of the Automotive Components fails to comply with the Order or Schedule in terms of quantity, period of time, delivery time, determined by the Buyer, product range or completeness, marking, accompanying documents, as well as quantitative discrepancies inside the packaging, such as shortage, excessive quantity or mixed part numbers, the Buyer shall make a "Statement of discrepancies found during products acceptance” as per the N-7058 (Appendix No. 3 of LADA Izhevsk LLC Specific terms and conditions) and a Claim and send these documents within 3 (three) working days from the moment of discovery of the quantitative non-conformity of the Automotive Components to the Supplier’s e-mail address indicated in paragraph 4 of the Contract and/or to the Buyer’s IT system (EDI). Within 2 (two) working days from receipt of the Act and Claim described above, the Supplier shall study these documents, and in case of acknowledgement of non-conformity in the Automotive Components delivered compared to the Order or Schedule, the Supplier shall be obliged to send to the Buyer a corrective invoice (for local supplies) or a credit-note (for import supplies) to the amount of the non-confirmed Automotive Components within 5 (five) calendar days to the following address: 426060, the Udmurt Republic, Izhevsk, Avtozavodskaya st. 5. The Seller shall notify the Buyer of its decision by e-mail stated in Article 4 of the Contract and/or to the Buyer’s IT system (EDI). |
| Покупатель имеет право на выборочную проверку Автокомпонентов в отдельных товарных местах с исправной упаковкой (одном или нескольких одновременно) путем сличения фактического наличия Автокомпонентов с данными внешней маркировки. | | The Buyer shall have the right for selective control of the Automotive Components from different packaging with proper package (one or several) by comparing actual presence of the Automotive Components with data indicated on external label. |
| В случае обнаружения излишне поставленных Автокомпонентов, Покупатель вправе по своему усмотрению либо принять и оплатить излишне поставленные Автокомпоненты, либо вернуть Автокомпоненты Поставщику за его счет или потребовать от Поставщика вывезти излишки за его счет в течение 5 (пяти) календарных дней с момента направления соответствующего требования. | | If supply of excessive quantity of the Automotive Components is revealed, the Buyer shall be entitled at its discretion to accept and pay for the excessive Automotive Components or to return the overdelivered Automotive Components to the Supplier at its expense or to require that the Supplier removes the excessive Automotive Components at its expense within five (5) calendar days from sending the corresponding request. |
| Акт о выявленных отклонениях при приемке продукции по форме Н-7058 утверждается начальником отдела по принадлежности склада Покупателя либо его заместителем и направляется Покупателем Поставщику в течение 3 (трех) рабочих дней с момента обнаружения несоответствий Автокомпонентов по количеству. | 8.5. | The act on discrepancies found during acceptance in H-7058 form shall be approved by the head of the warehouse department or by his/her deputy and be sent to the Supplier within 3 (three) working days since the Automotive Components quantity discrepancies are found. |

Автозаводская, 5. | | Based on the Act of discrepancies found during products acceptance received, the Supplier shall draw up an adjustment invoice (for local supplies) or a credit note (for import supplies) and send these documents to the Buyer’s address as follows: 426060, the Udmurt Republic, Izhevsk, Avtozavodskaya street, 5. |
| Количество Автокомпонентов при приемке определяется в единицах измерения, указанных Поставщиком в товарных накладных, способом поштучного пересчета, без определения массы брутто, массы нетто, массы тары, массы 1 единицы изделия. | 8.6 | The quantity of the Automotive Components at acceptance shall be defined by the Buyer in units of measure specified by the Supplier in bills of lading through counting by pieces, without determination of gross weight, net weight, packaging weight or weight of 1 piece of products. |
| Качество Автокомпонентов и промышленные риски | 9. | Quality of Automotive Components and industrial risks |
| Качество Автокомпонентов должно соответствовать требованиям Технической документации, а также должно быть подтверждено сертификатами качества в соответствии с требованиями законодательства РФ. Поставщик несет ответственность за качество поставленных Автокомпонентов на всех этапах, начиная с производства, поставки Автокомпонентов, сборки и эксплуатации Автомобилей. Поставщик гарантирует качество поставленных Автокомпонентов и отсутствие каких-либо несоответствий и дефектов, в том числе скрытых. | 9.1 | Quality of the Automotive components must comply with requirements of the Technical documentation and be confirmed by the quality certificates in accordance with legislative requirements of the Russian Federation. The Supplier shall be held liable for the quality of the supplied Automotive components at all the stages starting production, supply of the Automotive components, assembly and operation of the Vehicles. The Supplier guarantees quality of the supplied Automotive components and absence of any non-conformities and defects including latent ones. |
| Поставщик осведомлен о назначении производимых Автокомпонентов и условиях их применения. Поставщик несёт ответственность при выявлении Покупателем несоответствия Автокомпонентов при их сборке, испытаниях и гарантийной эксплуатации, носящего скрытый характер и не выявленного принятыми у Покупателя методами контроля или имеющего свойства, соответствующие техническим требованиям. | 9.1.1 | The Supplier shall be aware of the purpose of the manufactured Automotive components and conditions of their use. The Supplier shall be held liable when the Buyer detects non-conformity of the Automotive components having latent nature and not detected with inspection methods adopted by the Buyer or having properties compliant with the technical requirements, during their assembly, tests and warranty operation. |
| Поставщик обязуется по запросу Покупателя или ПАО «АВТОВАЗ» представлять отчеты о результатах периодических испытаний и корректировке процедур управления качеством поставляемых Автокомпонентов. Отчеты должны представляться не позднее 20 (Двадцати) календарных дней после их завершения. Покупатель имеет право по своему усмотрению присутствовать при проведении испытаний Автокомпонентов на соответствие требованиям по его безопасности. Сертификационным органом может быть национальный орган страны завода-изготовителя. | 9.1.2 | The Supplier shall be obliged to submit reports on the results of the periodic tests and revision of the quality management procedures relating to the Automotive components supplied, at the request of the Buyer or AVTOVAZ PJSC. The reports shall be submitted in 20 (twenty) calendar days at the latest after their completion. The Buyer shall be entitled to attend testing of the Automotive components for compliance to its safety requirements at its own discretion. A national authority of the country of the manufacturer may act as a certification authority. |
| Поставщик применяет инструмент оценки уровня качества процессов производства, нацеленный на выявление несоответствий и их устранение при помощи предупреждающих действий (MQA – матрица обеспечения качества). | 9.2 | The Supplier shall apply manufacturing processes quality level assessment tool aimed at detection of non-conformities and their elimination with preventive actions (MQA – matrix of quality assurance). |
| Поставщик предоставляет возможность Покупателю проведения проверок условий производства и состояния технологических процессов для оценки результативности действий Поставщика по устранению несоответствий, выявленных в состоянии поставки, монтаже и испытаниях. При необходимости проведения Покупателем проверки условий производства субпоставщика на его площадке, Поставщик должен организовать такую проверку. | 9.3 | The Supplier shall provide the Buyer with an opportunity to check production conditions and the state of technological processes to assess efficiency of the Supplier’s actions to eliminate the non-conformities detected as-delivered, during installation or testing. In case there is a necessity for the Buyer to check production conditions of the sub-supplier on its site, the Supplier must arrange such an inspection. |
| 9.4. Поставщик обязан выбрать аккредитованный IATF сертифицирующий орган и заключить с ним договор на проведение сертификации. Поставщик обязан представить Покупателю детальный календарный план-график внедрения элементов стандарта ISO/TS 16949 и проведения сертификации. Поставщик обязан разработать и внедрить Систему менеджмента качества (СМК) в соответствии с международным стандартом ISO/TS 16949. При неполучении сертификата соответствия по ISO/TS 16949 в установленный срок, Поставщик обязуется предоставить дополнительную скидку на Автокомпоненты в размере 0,5% от согласованной Сторонами цены Автокомпонентов. | 9.4 | The Supplier shall be obliged to select an IATF-certified certification authority and to enter into a certification contract with it. The Supplier shall be obliged to provide the Buyer with a detailed calendar schedule of introduction of ISO/TS 16949 elements and certification. The Supplier shall be obliged to develop and introduce Quality Management System (QMS) in accordance with the international standard ISO/TS 16949. In event of a failure to obtain conformity certificate in accordance with ISO/TS 16949 within a specified period, the Supplier shall be obliged to provide an additional discount for the Automotive components amounting 0.5% of the price of the Automotive components agreed by the Parties. |
| В силу специфики отношений в области производства Автокомпонентов Покупатель или ПАО «АВТОВАЗ» имеет право осуществлять контроль над процессом внедрения и сертификации системы менеджмента качества. Несоблюдение Поставщиком сроков внедрения и сертификации системы менеджмента качества оформляется актом соответствующей проверки, который подписывается уполномоченными представителями Покупателя и Поставщика. Покупатель вправе дополнительно изменить объемы поставок или расторгнуть Договор при невыполнении Поставщиком вышеуказанного требования по внедрению и сертификации системы менеджмента качества в разумный срок. | 9.5 | Due to the specific nature of relationships in the field of manufacturing of the Automotive components, the Buyer or AVTOVAZ PJSC shall be entitled to exercise control over the process of introduction and certification of the Quality Management System. The Supplier’s failure to respect timing of introduction and certification of the Quality Management System shall be documented by a respective inspection report which shall be signed by the authorized representatives of the Buyer and the Supplier. The Buyer shall be entitled to change the supply volume further or to terminate the Contract if the Supplier fails to meet the abovementioned requirement relating to introduction and certification of the Quality Management System within a reasonable time. |
| С начала производства Автокомпонентов Поставщик должен выполнять требования «Процедуры Альянса Renault-Nissan по обеспечению качества новых комплектующих» (ANPQP), с которой он был надлежащим образом ознакомлен. Поставщик настоящим дополнительно подтверждает своё согласие с указанной процедурой. | 9.6 | Since the beginning of production of the Automotive components the Supplier shall be obliged to meet the requirements of the Alliance New Product Quality Procedure (ANPQP) it has been duly familiarized with. The Supplier hereby reconfirms its consent with the procedure specified. |
| Недопустимы любые изменения в технологии, конструкции, материалах, или изменения Автокомпонентов, входящих в состав узла, включая смену субпоставщиков Автокомпонентов и услуг. При необходимости любых изменений Поставщик обязан выполнить требования «Процедуры Альянса Renault-Nissan по обеспечению качества новых комплектующих» (ANPQP). | 9.7 | Any changes in technology, design, materials, or modifications of the Automotive components constituting an assembly, including change of the sub- Suppliers of the Automotive components and services, are unacceptable. In case there is a necessity in any changes, the Supplier shall be obliged to meet the requirements of the Alliance New Product Quality Procedure (ANPQP). |
| 9.8. В случае, если Поставщик ранее не поставлял данный вид Автокомпонентов Покупателю и/или в случае неудовлетворительного качества производственного процесса (превышения согласованных пределов, определяемых показателем PPM (рarts per million – «количество деталей неудовлетворительного качества на миллион деталей при пробеге в 0 км по результатам месяца (Далее – “PPM 0 км”), согласно внутренним целям по качеству производственного процесса в два раза и более) и/или не достижении согласованных целей по качеству поставок, определяемых показателем PPM вместе определяемых согласно Приложению № 5 к Специальным условиям ЛАДА Ижевск, Поставщик обязан за свой счет обеспечить присутствие постоянного представителя Поставщика на заводе Покупателя в течение 3 месяцев после начального серийного производства и оборудовать каждую рабочую смену дополнительным постом окончательного контроля качества (Далее - «FIREWALL») с привлечением независимых контролеров технического контроля и проводить 100% контроль Автокомпонентов по несоответствующим (и/или значимым) характеристикам в течение как минимум 6 (шести) календарных месяцев. Решение об отмене дополнительных постов контроля принимается по предварительному согласованию с Покупателем и при достижении согласованных целей по качеству поставок (“PPM 0 км” по результатам месяца) и внутренних целей по качеству производственного процесса в течение 6 (шести) последних календарных месяцев. Решение об отмене дополнительных постов контроля принимается по предварительному согласованию с Покупателем и при выполнении следующих условий: - Нулевой уровень дефектности по поставкам “PPM 0 км” за последний календарный месяц; - Нулевой уровень дефектности на дополнительном посту окончательного контроля (“FIREWALL”) за последний календарный месяц; - Оценка по стандартному аудиту качества “FIREWALL” не менее 80% и отсутствие критериев, оцененных на два. В случае невыполнения хотя бы одного из вышеперечисленных условий или нескольких из них поочередно в течение трех (3) календарных месяцев, Покупатель имеет право расторгнуть Договор, при этом Покупатель не обязан выплачивать Поставщику никаких компенсаций по заказанным Автокомпонентам, материалам или иных компенсаций. В случае если Покупатель расторгает Договор по причине несоблюдения уровня РРМ, то Поставщик должен компенсировать Покупателю все расходы и убытки, связанные с расторжением Договора, заключением нового договора, устранением последствий поставки Автокомпонентов ненадлежащего качества. | 9.8. | In case the Supplier did not supply the Automotive components of this kind to the Buyer earlier and/or in case of unsatisfactory quality of the production process (twofold or higher exceeding of the agreed limits defined by PPM (parts per million – a number of parts of unsatisfactory quality per million parts at 0 km upon the result of the month (hereinafter referred to as PPM 0 km), according to the internal targets relating to quality of the production process) and/or failure to achieve agreed supply quality targets defined by PPM being set together according to Appendix No. 5 to the Specific Terms and Conditions of LADA Izhevsk, the Supplier shall be obliged at its own expense to ensure presence of a permanent representative of the Supplier at the Buyer’s factory during 3 months after initial serial production and equip each work shift with an additional final quality inspection station (hereinafter referred to as the FIREWALL) involving independent technical inspectors and conduct 100% inspection of the Automotive components in respect of incompliant (and/or important) characteristics during at least 6 (six) calendar months. Decision to abolish additional inspection stations shall be made upon a prior approval of the Buyer and provided that the agreed supply quality targets (PPM 0 km upon the result of the month) and internal targets relating to the quality of production process are respected during the last 6 (six) calendar months. Decision to abolish additional inspection stations shall be made upon a prior approval of the Buyer and subject to observance of the following conditions: - Zero defect level “PPM 0 km” of the supplies during the last calendar month; - Zero defect level at the additional final inspection station (FIREWALL) during the last calendar month; - A grade of evaluation in accordance with standard quality audit “FIREWALL” of at least 80%; no criteria graded as 2. In case of a failure to fulfill at least one of the conditions listed above or one of them alternatively during three (3) calendar months, the Buyer shall be entitled to terminate the Contract, in this case the Buyer shall not be obliged to pay any compensation in respect of the ordered Automotive components or materials or other compensation, to the Supplier. If the Buyer terminates the Contract due to the failure to observe РРМ level, then the Supplier shall be obliged to compensate all the expenses and losses related to termination of the Contract, entering into a new one and elimination of the consequences of supply of the Automotive components of inappropriate quality, to the Buyer. |
| С момента установления дополнительных постов окончательного контроля (“FIREWALL”) Покупатель имеет право проводить периодические стандартные аудиты качества “FIREWALL” у Поставщика и требовать предоставление плана корректирующих действий с целью проверки и подтверждения выполнения условий по качеству, указанных в п.9.6 настоящих Специальных условий ЛАДА Ижевск. | 9.9 | Since the time of establishment of additional final quality inspection stations (FIREWALL), the Buyer shall be entitled to conduct periodic standard quality audits “FIREWALL” at the Supplier’s site and demand submission of a plan of corrective actions to check and confirm observance to the quality conditions specified by item 9.6 of these Specific Terms and Conditions of LADA Izhevsk. |
| Покупатель имеет право производить оценку существующей системы менеджмента качества Поставщика или ее отдельных элементов и принимать решение по дальнейшим поставкам Автокомпонентов на основании заключения по результатам оценки и не достижения Поставщиком требуемого Покупателем ранга ASES. | 9.10 | The Buyer shall be entitled to assess current Quality Management System of the Supplier or its individual elements, and make decisions in respect of further supplies of the Automotive components on the basis of a statement on the results of assessment and the Supplier’s failure to achieve ASES rank required by the Buyer. |
| Если в результате несоответствия Автокомпонентов Договору в процессе хранения и эксплуатации Автокомпонентов причинен вред жизни, здоровью или имуществу третьих лиц, то такой ущерб подлежит возмещению за счет Поставщика в полном объеме в том случае, если эти несоответствия возникли по вине Поставщика. | 9.11 | If non-conformity of the Automotive components to the Contract resulted in harm to life, health or property of the third parties during storage and operation of the Automotive components, then such a damage is subject to compensation at the expense of the Supplier in full if these non-conformities occurred through the fault of the Supplier. |
| Если несоответствие Автокомпонентов Договору вызвало необходимость сортировки или ремонта Автокомпонетов, повреждение или простой оборудования Покупателя, повреждение Автомобиля вследствие установки на него некачественных Автокомпонентов или иные убытки, Поставщик возмещает Покупателю и/или ПАО «АВТОВАЗ» причиненные убытки в полном объеме, в порядке предусмотренном настоящими Специальными условиями ЛАДА Ижевск. | 9.12 | If non-conformity of the Automotive components to the Contract generated a necessity to sort or repair the Automotive components, damage or downtime of the Buyer’s equipment, damage of the Vehicle resulting from installation of defective Automotive components, or other losses, the Supplier shall compensate inflicted loss to the Buyer and/or to AVTOVAZ PJSC in full in accordance with procedure stipulated by these Specific Terms and Conditions of LADA Izhevsk. |
| Покупатель имеет право требовать от Поставщика за его счет разработки и документированного предоставления анализа возникновения факта производства некачественных Автокомпонентов, а также план корректирующих действий, предотвращающих поставку некачественных Автокомпонентов в дальнейшем. Поставщик обязан предоставить анализ и план корректирующих действий по электронной почте в течение 10 (десяти) рабочих дней с момента получения требования Покупателя. | 9.13 | The Buyer shall be entitled to demand development and documentation of analysis of the matter of defective Automotive components production, as well as a plan of corrective actions preventing supply of defective Automotive components in future, from the Supplier at its expense. The Supplier shall be obliged to submit analysis and a plan of corrective actions by e-mail within 10 (ten) business days of reception of the Buyer’s demand. |
| Все испытательное оборудование, мерительный инструмент, контрольная Оснастка, применяемые при контроле Автокомпонентов, должны быть проверены Поставщиком, что должно подтверждаться надлежащими документами. Персонал испытательных и измерительных лабораторий должен быть обучен и иметь надлежащие документы, подтверждающие его квалификацию для проведения испытаний и измерений. | 9.14 | All the testing equipment, gauges and checking fixtures used for inspection of the Automotive components must be checked by the Supplier which must be confirmed by the appropriate documents. Personnel of testing and measurement laboratories must be trained and have appropriate documents confirming its qualification to perform tests and measurements. |

| Покупатель имеет право производить аудит предприятия Поставщика с целью обнаружения рисков остановки конвейера Покупателя по вине Поставщика и увеличения себестоимости продукции (далее: промышленные риски) и принимать решение по дальнейшим поставкам Автокомпонентов на основании заключения по результатам аудита. Покупатель имеет право требовать от Поставщика разработки и документированного предоставления плана корректирующих действий, направленных на устранение выявленных промышленных рисков. Поставщик обязан предоставить план корректирующих действий по электронной почте или факсу в течение 20 (двадцати) календарных дней с момента получения требования Покупателя. Покупатель имеет право осуществлять контроль над процессом внедрения планов по устранению промышленных рисков. | 9.16 | The Buyer shall be entitled to conduct an audit of the Supplier’s factory to detect the risks to stop the Buyer’s assembly line through the Supplier’s fault and to increase the production cost (hereinafter referred to as the industrial risks) and make decisions in respect of further supplies of the Automotive components on the basis of a statement on the results of the audit. The Buyer shall be entitled to demand development and documentation of a plan of corrective actions aimed at elimination of the detected industrial risks, from the Supplier. The Supplier shall be obliged to submit the plan of corrective actions by e-mail or by fax within 20 (twenty) calendar days of reception of the Buyer’s demand. The Buyer shall be entitled to exercise control over the process of industrial risks elimination plans implementation. |

| При выявлении Покупателем дефектов Автокомпонентов Поставщика при входном контроле, монтаже, испытаниях, влияющих на безопасность, функционирование данных Автокомпонентов или носящих систематический характер, а также при систематическом невыполнении Поставщиком целей по уровню дефектности Автокомпонентов в состоянии поставки и в период гарантийной эксплуатации, согласованных с Покупателем, Покупатель имеет право применить, а Поставщик обязан принять следующие методы обеспечения качества поставляемых Автокомпонентов: - PDCA; - 8D; - режим контролируемой поставки с привлечением 3-ей стороны с оплатой понесенных расходов за счет Поставщика. | 9.18 | In event if during incoming inspection, installation and testing the Buyer detects defects of the Supplier’s Automotive components impacting safety or functioning of these Automotive components or systematic ones, as well as if the Supplier systematically fails to achieve the targets agreed upon with the Buyer relating to defect level of the Automotive components as-delivered and during warranty operation, the Buyer shall be entitled to apply, and the Supplier shall be obliged to accept the following methods to assure quality of supplied Automotive components: - PDCA; - 8D; - controlled delivery mode involving a third party with payment of the borne expenses at the expense of the Supplier |
| Документом, удостоверяющим качество Автокомпонентов текущих поставок, является сертификат (вариант: паспорт качества). Сертификат, удостоверяющий качество поставляемых Автокомпонентов, вкладывается внутрь одного из тарных мест поставляемой партии Автокомпонентов либо передается с товаросопроводительной документацией. Тарное место, в котором находится документ о качестве, должно иметь надпись «Сертификат здесь». | 9.19 | A document certifying quality of the Automotive components of the current supplies shall be a quality certificate. Certificate which certifies quality of the supplied Automotive components shall be enclosed inside one of the containers of the supplied lot of the Automotive components or handed over along with shipping documents. The container where the document on quality is placed must bear marking “Certificate here”. |
| Покупатель имеет право на проведение своими силами немедленной разбраковки, 100% контроля несоответствующих Автокомпонентов, а также Автокомпонентов с отсутствующей маркировкой в соответствии с п.9.21 Специальных условий поставки. Убытки, связанные с разбраковкой (сортировкой) и 100% контролем подлежат возмещению Поставщиком в порядке, предусмотренном разделом 10 настоящих Специальных условий ЛАДА Ижевск. | 9.20 | The Buyer shall be entitled to do immediate presorting, 100% inspection of non-conforming Automotive components, as well as the Automotive components which have no marking in accordance with item 9.21 of the Specific Terms and Conditions applied to the Supply, on its own. Losses relating to presorting (sorting) and 100% inspection are subject to compensation by the Supplier in accordance with procedure stipulated by section 10 of these Specific Terms and Conditions of LADA Izhevsk. |
| В случае отсутствия у Поставщика возможности устранения дефектов своими силами, Поставщик имеет право привлекать стороннюю организацию для проведения работ по 100% контролю, разбраковке или доработке Автокомпонентов на территории Покупателя. При этом Поставщик обязан информировать Покупателя о привлечении третьей стороны и согласовать с ним способ устранения дефектов. При необходимости, Поставщик имеет право привлекать стороннюю организацию для определения причин и анализа возникших дефектов. Размер оплаты за 100% контроль, разбраковку, либо доработку устанавливается в договоре, заключенном между Поставщиком и сторонней организацией. В случае если Поставщик в течение 4 часов с момента размещения в ИС GQE сообщения о несоответствии (далее - NC) не обеспечил присутствие представителя Поставщика для проведения работ по устранению дефектов, разбраковке, 100% контролю, либо не привлек стороннюю организацию для проведения вышеуказанных работ, Покупатель сам вправе привлечь стороннюю организацию для проведения работ по 100% контролю, разбраковке или доработке Автокомпонентов на территории Покупателя, либо провести вышеуказанные работы собственными силами. В этом случае каждый обнаруженный Автокомпонент ненадлежащего качества будет учтен при расчете показателя РРМ Поставщика. Затраты, связанные с проведением работ по 100% контролю, разбраковке или доработке должны быть возмещены Поставщиком в соответствии с договором, заключенным между сторонней организацией и Покупателем. В том случае, если Покупатель проведет работы собственными силами, затраты возмещаются в соответствии с разделом 10. Специальных условий ЛАДА Ижевск. Поставщик признает обозначенные здесь расходы при подписании Договора. | 9.21. | In event the Supplier does not have an opportunity to eliminate defects on its own the Supplier shall be entitled to involve a third party to perform 100% inspection, presorting and rework of the Automotive components on the Buyer’s site. In this case the Supplier shall be obliged to inform the Buyer about involvement of a third party and to get its approval of defects elimination method. If necessary, the Supplier shall be entitled to involve a third party to define causes and to analyze the defects occurred. The amount of payment for 100% inspection, presorting or rework shall be stipulated by the Contract entered into by and between the Supplier and a third party. In event the Supplier within 4 hours after placement of the notification of a non-conformity (hereinafter referred to as the NC) in IS GQE did not ensure availability of the Supplier’s representative to conduct works on elimination of the defects, presorting, 100% inspection, or did not involve a third party to conduct the abovementioned works, the Buyer shall be entitled to involve a third party on its own to conduct works on 100% inspection, presorting or rework of the Automotive components on the Buyer’s site, or conduct the abovementioned works on its own. In this case every detected Automotive component of inappropriate quality will be taken into account when calculating РРМ of the Supplier. The costs related to the works on 100% inspection, presorting or rework must be compensated by the Supplier in accordance with the contract entered into by and between a third party and the Buyer. In case the Buyer conducts the works on its own, the costs shall be compensated in accordance with section 10. оf the Specific Terms and Conditions of LADA Izhevsk. The Supplier acknowledges the expenses specified here when signing the Contract. | Поставщик применяет методику анализа и решения проблем 8D для исключения несоответствий. Поставщик обязан выполнить действия по исключению проблем. | 9.22 | The Supplier applies 8D method of analysis and problem-solving to eliminate non-conformities. The Supplier shall be obliged to perform actions to eliminate problems. |
| В случае выявления дефектов Автокомпонентов при монтаже и испытаниях, влияющих на безопасность или функционирование данных Автокомпонентов, Покупатель имеет право забраковать весь имеющийся у него задел данных Автокомпонентов без предъявления забракованных партий. При этом Поставщик обязан провести анализ причин дефектов и документально подтвердить доказательства гарантированного качества ранее поставленных Автокомпонентов, находящихся у Покупателя, а также Автокомпонентов, находящихся у Поставщика. Поставщик может запросить у Покупателя образец Автокомпонентов ненадлежащего качества (применимо только для локальных поставок). В случае отсутствия или недостаточности данных документов Покупатель имеет право без предъявления забракованных партий, оформить все забракованные Автокомпоненты на возврат в соответствии с настоящими Специальными условиями ЛАДА Ижевск. | 9.23 | In case the defects of the Automotive components impacting safety or functioning of these Automotive components are detected during installation and tests, the Buyer shall be entitled to reject all the stock of these Automotive components it has without presenting of the rejected lots. In this case the Supplier shall be obliged to conduct analysis of the causes and evidence the guaranteed quality of the Automotive components supplied earlier located at the Buyer’s, as well as the Automotive components located at the Supplier’s. The Supplier may request the Buyer for a sample of the Automotive components of inappropriate quality (only applicable for local supplies). In case of absence or insufficiency of these documents, the Buyer shall be entitled to document all the rejected Automotive components for return without presenting of the rejected lots in accordance with the Specific Terms and Conditions of LADA Izhevsk. |
| Поставщик в согласованные с Покупателем сроки обеспечивает четкую идентификацию Автокомпонентов в соответствии с требованиями нормативной и конструкторской документации альянса «АВТОВАЗ - NISSAN – RENAULT» на всех этапах, начиная с производства, поставки, сборки и эксплуатации автомобилей путем применения аттестованных самоклеющихся этикеток, информация о которых размещена в ИС технопортал ПАО "АВТОВАЗ" по адресу https://tportal.vaz. Каждая партия деталей (узлов) и комплектующих изделий должна сопровождаться паспортом качества на идентификационные материалы, этикетки и метки. Поставщик обязан в согласованные с Покупателем сроки создать информационную систему по обеспечению прослеживаемости изготовления данных Автокомпонентов. | 9.24 | The Supplier shall ensure clear identification of the Automotive components within a period agreed upon with the Buyer in accordance with requirements of the regulatory and design documentation of the Alliance of AVTOVAZ – NISSAN – RENAULT at all the stages starting production, supply, assembly and operation of the Vehicles by applying certified self-adhesive labels; information about them is published in IS Tekhnoportal of AVTOVAZ PJSC at https://tportal.vaz. Each lot of parts (assemblies) and components must be supported by the quality certificate covering identification materials, labels and tags. The Supplier shall be obliged to create an information system to ensure traceability of manufacturing of these Automotive components within a period agreed upon with the Buyer. |
