| Participants Reference Guide means the list of Participants, used by the Client, Principal reporting agent and Reporting agent while composing messages to the Repository, which contains details of each Participants in accordance with Appendix 7 to these Terms and Conditions. | Справочник Участников – список Участников репозитарных отношений, содержащий реквизиты каждого Участника, согласно перечню реквизитов, указанных в Приложении 7 к настоящим Условиям и используемый Клиентом, Базовым информирующим лицом, Информирующим лицом при формировании сообщений в Репозитарий. | | ||

| 1.1.Subject-Matter of these Terms and Conditions |

| These Terms and Conditions for the provi sion of repository services (hereinafter referred to as these “Terms and Conditions” or the “repository services agreement”) set forth the procedures and the terms and conditions for the provision of repository services by Repository, in respect of the recording and registration in the Contracts Register of information provided by the person(s) designated by the Clients who are parties to the master agreement on repo-contracts, contracts classified as derivative financial instruments or contracts of other types (hereinafter referred to as a “contract” or “contracts”) concluded on over-the-counter markets on the terms and conditions of the master agreement, and for the provision of information by the Repository from the Contracts Register and other Accompanying Services. | Настоящие Условия оказания репозитарных услуг (далее – Условия, договор об оказании репозитарных услуг) устанавливают порядок и условия предоставления Репозитарием услуг по регистрации и внесению в Реестр договоров информации, предоставленной лицом (лицами), определенным Клиентами, - сторонами Генерального соглашения, о заключенных не на организованных торгах договорах репо, договорах, являющихся производными финансовыми инструментами, или иных договорах, если такие договоры (далее – договор, договоры) заключены на условиях Генерального соглашения, а также услуг по предоставлению информации из Реестра договоров и иные сопутствующие услуги. | | ||
| Repository Services Agreements shall be concluded by the signing and submission to the Repository of a Master Agreement Reporting Form: | Заключение договора об оказании репозитарных услуг осуществляется присоединением к настоящим Условиям путем подписания и предоставления в Репозитарий Анкеты генерального соглашения: | | ||
| - in electronic form (Appendix 2) signed with an electronic signature by the Principal Reporting Agents of the Clients who are parties to the Master Agreement; or | - в электронной форме (Приложение 2 к Условиям), подписанной электронной подписью Базовыми информирующими лицами Клиентов, являющихся сторонами Генерального соглашения, либо | | ||
| - in hard copy (Appendix 3) signed by the Principal Reporting Agents of the Clients who are parties to the Master Agreement. | - в бумажной форме (Приложение 3 к Условиям), подписанной Базовыми информирующими лицами Клиентов, являющихся сторонами Генерального соглашения. | | ||
| In a Master Agreement Reporting Form the Client has the right to indicate only those contracts about which it assumes to provide information to be added to the Contracts Register of the Repository. In this case the Repository Services Agreement shall be deemed made with respect to types of contracts indicated by the Client in the Master Agreement Reporting Form. | При заполнении Анкеты генерального соглашения Клиент вправе указать только те виды договоров, по которым он предполагает предоставлять сведения для внесения в Реестр договоров Репозитария. В этом случае договор об оказании репозитарных услуг будет считаться заключенным в отношении видов договоров, указанных Клиентом в Анкете генерального соглашения. | | ||
| To make changes / additions to repository services agreements with respect to other (all) types of contracts made on the basis of the Master Agreement information about which is contained in the Contracts Register of the Repository, the Client shall submit to the Repository a Master Agreement Reporting Form with changes in the list of types of contracts information about which is entered in the Contracts Register pursuant to thе Master Agreement in question. | Для внесения изменений/дополнений в договоры об оказании репозитарных услуг в отношении иных (всех) видов договоров, заключаемых на условиях Генерального соглашения, сведения о котором внесены в Реестр договоров Репозитария Клиент предоставляет в Репозитарий Анкету генерального соглашения, содержащую изменения перечня видов договоров, сведения о которых предоставляются в Реестр договоров в рамках данного Генерального соглашения. | | ||
| The submission by the Client of the signed Master Agreement Reporting Form with changes in the list of types of contracts made on the basis of the Master Agreement information about which is entered in the Contracts Register of the Repository shall be viewed as an offer to enter a supplement to the Repository Services Agreement effective with respect to the Master Agreement information about which is entered in the Contracts Register of the Repository. | Подача подписанной Клиентом Анкеты генерального соглашения, содержащей изменения перечня видов договоров, заключаемых на условиях Генерального соглашения, сведения о котором внесены в Реестр договоров Репозитария, рассматривается, как предложение заключить дополнительное соглашение к договору об оказании Репозитарных услуг, действующему в отношении Генерального соглашения, сведения о котором внесены в Реестр договоров Репозитария. | | ||
| Repository services agreement shall contain Legal Entity Identifier (LEI) of the Client (party of the Master agreement) required to provide information to the Repository in accordance with the current legislation and LEI of the Reporting agent and the Principal reporting agents. | Договор об оказании репозитарных услуг, должен содержать международный код идентификации юридического лица (LEI) – Клиента (стороны Генерального соглашения), обязанного предоставлять информацию в Репозитарий в соответствии с действующим законодательством, а также Информирующего лица и Базового информирующего лица. | | ||
| The Repository shall provide Repository Services in accordance with the Federal Law “On the Securities Market”, the regulatory and legal acts of the Regulating Authority on Financial Markets and other applicable regulatory and legal acts, as well as in accordance with these Terms and Conditions. | Репозитарий осуществляет оказание Репозитарных услуг в соответствии с Федеральным законом «О рынке ценных бумаг», нормативными правовыми актами Регулирующего органа в области финансовых и иными нормативными правовыми актами, а также настоящими Условиями. | | ||
| The procedures for the approval of these Terms and Conditions and for making amendments to them shall be determined in accordance with the Repository’s internal documents. | Порядок утверждения Условий и внесения в них изменений определяется внутренними документами Репозитария. | | ||
| Clients may also enter into contracts of other types (in particular, ancillary contracts) regulating the procedures for the provision of Repository Services. Such contracts may not be inconsistent with these Terms and Conditions. | С Клиентами также могут заключаться другие соглашения (в частности, дополнительные соглашения), регламентирующие порядок оказания Репозитарных услуг. Указанные соглашения не могут противоречить Условиям. | | ||
| These Terms and Conditions are published on the NSD website (www.nsd.ru) and are available upon request to any persons concerned. | Условия носят открытый характер, публикуются на сайте НКО ЗАО НРД по адресу: www.nsd.ru и предоставляются по запросам любых заинтересованных лиц. | | ||
| These Terms and Conditions contain: | Условия содержат сведения, касающиеся: | | ||
| - the procedures for the performance by the Clients, the principal reporting agents, the reporting agents and the Repository of various operations in pursuance of the Repository Services Agreement; | - порядка действий Клиентов, Базовых информирующих лиц, Информирующих лиц и Репозитария при выполнении операций в процессе исполнения договора об оказании Репозитарных услуг; | | ||
| - the grounds for the performance of various Repository Operations; | - оснований для выполнения операций Репозитария; | | ||
| - the forms of documents and the specifications of electronic messages to be delivered to the Repository by the Client, the principal reporting agent and the reporting agent; | - образцов документов и спецификаций электронных сообщений, которые должны передавать в Репозитарий Клиент, Базовое информирующее лицо и Информирующее лицо; | | ||
| - forms of documents and the specifications of electronic messages to be received by the Client, the principal reporting agent and the reporting agent from the Repository; | - образцов документов и спецификаций электронных сообщений, которые получают Клиент, Базовое информирующее лицо и Информирующее лицо от Репозитария; | | ||
| - deadlines for the completion of Repository Operations; | - сроков выполнения операций Репозитарием; | | ||
| - the procedures and deadlines for the issuance by the Repository of information from the Contracts Register to the Client, the principal reporting agent and the reporting agent, as well as to other persons specified in these Terms and Conditions. | - порядка и сроков предоставления Репозитарием Клиенту, Базовому информирующему лицу и Информирующему лицу, а также иным лицам, указанным в настоящих Условиях, информации из Реестра договоров. | | ||
| Participants’ reference guides for communication with Clients, Principal Reporting Agent and Reporting Agents in connection with repository activities are maintained by the Repository and are placed on the NSD website (www.nsd.ru) in the format prescribed in Appendix 7 to these Terms and Conditions. The reference guides are updated automatically on the website as changes are being made to the Repository’s data base, at least once a day. | Справочники Участников, необходимые для взаимодействия с Клиентами, Базовыми информирующими лицами и Информирующими лицами при осуществлении репозитарной деятельности, ведутся и обновляются Репозитарием и размещаются на сайте НКО ЗАО НРД по адресу: (www.nsd.ru) в сети Internet, в соответствии с форматом, установленным Приложением 7 к настоящим Условиям. Справочники на сайте обновляются в автоматическом режиме по мере их изменения в базе данных Репозитария, но не реже одного раза в день. | | ||
| 1.2.Duties of the Repository and the Clients |
| | ||
| 1.2.1.The Repository is obliged: |
| | ||
| 1.2.1.1.to register all communications it receives in connection with the Repository’s activities in the manner and within the time limits set forth in these Terms and Conditions; |
| | ||
| 1.2.1.2.to check the integrity of the communications and documents received for the purpose of maintaining the Contracts Register, to ensure the integrity of the data entered in the Contracts Register, to protect such data from distortion and from unauthorized access, and to ensure the safety of the electronic signature throughout the retention periods established in these Terms and Conditions; |

| 1.2.1.3.to enter data in the Contracts Register in the manner and within the time limits established in these Terms and Conditions; |
| | ||
| 1.2.1.4.to register information on each data entry and data rejection in the Contracts Register in the Registration Log in the manner and within the time limits established in these Terms and Conditions; |
| | ||
| 1.2.1.5.to issue an Extract to Principal Reporting Agents and to Reporting Agents not later than on the working day immediately following the day on which new data is entered in the Contracts Register; |
| | ||
| 1.2.1.6.to comply with the procedures, the time limits and the forms for the issuance of reports by the Repository to the Clients, the principal reporting agents, the reporting agents are determined as set out in these Terms and Conditions; |
| | ||
| 1.2.1.7.not to use information on the Clients, the principal reporting agents and the reporting agents or any other data contained in the Contracts Register, in any way that is, or may become, prejudicial to the legitimate rights and interests of Clients; |
| | ||
| 1.2.1.8.to notify the Clients, the principal reporting agents, and the reporting agents of all changes made to these Terms and Conditions and to the tariffs for the provision of repository services in the manner and within the time limits established in these Terms and Conditions; |
| | ||
| 1.2.1.9.to consider objections to the data entered in the Contracts Register no later than one business day from the date such objection is received and to amend such data accordingly or to notify the Client, the principal reporting agent, the reporting agent of its refusal to make the requested amendments specifying the reasons for the refusal. |

| 1.2.2.Clients are obliged: |
| | ||
| 1.2.2.1.To timely provide updates on the data required to be included in the Contracts Register in accordance with these Terms and Conditions, as well as other data essential for the fulfillment by the Repository of its obligations to Clients under the Agreement on the terms and conditions for the provision of repository services. |
| | ||
| 1.2.2.2.To notify the Repository of the revocation of powers of attorney granted to Principal Reporting Agents authorized to act on behalf of Clients with respect to provision of repository services by the Repository no later than by the end of the day on which such powers are revoked. The Repository shall not be liable for any actions taken under these Terms and Conditions pursuant to any communications received from persons whose powers have been revoked by the Client prior to the notification of such revocation being made to the Repository. |

| 1.2.2.3.Within the time limits established in these Terms and Conditions to fully pay for the Repository Services in accordance with the payment provisions set forth in Section 2.6.2. |

| 1.2.2.4.To appoint at least one Principal Reporting Agent in the manner prescribed in these Terms and Conditions. |
| | ||
| 1.2.2.5.To notify the Repository of the appointment of the Principal Reporting Agent(s) and the Reporting Agent(s) in the manner prescribed in these Terms and Conditions. |
| | ||
| 1.2.2.6.To cause the Principal Reporting Agent and the Reporting Agent to fulfill their functions provided for in these Terms and Conditions. |
| | ||
| 1.3.Rights of the Repository and the Clients |
| | ||
| 1.3.1.The Repository shall have the right: |
| | ||
| 1.3.1.1.to refuse to enter data in the Contracts Register on the grounds, and subject to the procedures, as set forth in these Terms and Conditions; and |
| | ||
| 1.3.1.2.to make changes to these Terms and Conditions and to the Tariffs at its sole discretion, without the need for obtaining the prior consent of Clients, but subject to the notification of the Clients / the principal reporting agents / the reporting agents of such changes in accordance with Section 2.8.2. |
| | ||
| 1.3.2.Clients shall have the right: |
| | ||
| 1.3.2.1.to perform the actions provided for in these Terms and Conditions; |
| | ||
| 1.3.2.2.to receive via their Principal Reporting Agents information and documents provided for in these Terms and Conditions; |
| | ||
| 1.3.2.3.to lodge reasoned objections with the Repository, via their Principal Reporting Agents, to the data entered in the Contracts Register in the manner and within the time limits established by these Terms and Conditions; |
| | ||
| 1.3.2.4.to appoint a Principal Reporting Agent and to change the powers of the Principal Reporting Agent no more than once a month; 1.3.2.5.The Client shall have the right to forego to submit the information about contracts made on the basis of the terms of the Master Agreement on non-organized markets pursuant to regulatory acts of the Regulating Authority on financial markets and other legal acts and the present Terms and Conditions. |
