8. CONFIDENTIAL INFORMATION 8.1. Unless otherwise is set forth by the Parties’ agreement, all information received by the Parties from each other in the course of fulfillment of this Agreement in written, oral, electronic or other form, shall be considered as Confidential Information, except for information which may not be classified as confidential under applicable laws and other regulations of the Russian Federation. 8.2 The Parties shall implicitly ensure protection and preservation of confidential information within the entire period of validity of the Agreement and during five (5) years after its expiration, in particular:
8.3. Information requested by duly authorized state authorities within their competence may only be disclosed if the obligation to disclose it is directly determined by law and provided that the Sponsored party gives an early notification to the Sponsor about the received request which shall be executed in accordance with the laws of the Russian Federation. Such notification shall be given to the Sponsor in writing and shall contain reference to a legal provision committing the Sponsored party to disclose information and necessary parameters of the requested information. 8.4 All material media containing confidential information provided to the Sponsored party hereunder, as well as any copies thereof, are owned by the Sponsor and are subject to return and/or obliteration by the Sponsored party based on the Sponsor’s instructions. If confidential information is copied to material media owned by the Sponsored party, the Sponsor may instruct the Sponsored party to delete confidential information from such media or, where such deletion is impossible, to destroy the media. 8.5 Transfer of confidential information on paper and electronic media (floppy, CD and similar) shall be carried out as follows:
8.6 Information related to the content of advertising services and/or other provisions of this Agreement may be transmitted in electronic form upon the Sponsor’s written consent. 8.7 E-mail and/or facsimile transmission of correspondence containing confidential information is strictly limited to communication channels secured with cryptographic protection or the protected corporate computer network of the Sponsor. 8.8 Each Party undertakes all measures within its ability for prevention of infecting information transferred via electronic media (floppy, CD and similar), or contained in electronic documents and business documentation, or sent by e-mail (including attached files), with computer viruses. 8.9 In case of disclosure by the Sponsored party of confidential information to third parties without written consent of the Sponsor, the Sponsored party shall reimburse to the Sponsor the full amount of the damage incurred. 9. TERMINATION OF THE AGREEMENT 9.1. Either Party may refuse this Agreement. 9.2. In case of termination hereof (including a refusal of either Party), the Parties may demand the return of the obligations actually performed by them hereunder (or, where inapplicable, the return of the value of the performed obligation) by the date of termination hereof. 10. MISCELLANEA, EFFECTIVENESS 10.1. In all other matters not specified herein, the Parties shall be guided by the laws of the Russian Federation. The Agreement is governed by the substantive laws of the Russian Federation without regard to its conflict rules. 10.2. Any amendments hereto shall be valid if made in writing and signed by the Parties (or their authorized representatives). 10.3. The Agreement shall become effective upon the signature thereof and shall remain in effect until the Parties have performed their obligations hereunder in full. 10.4. This Agreement is executed in both Russian and English in two counterparts of equal legal effect, one counterpart for either Party. In case of differences between the English and Russian versions, the Russian version shall prevail. 10.5. All correspondence concerning the present Agreement should be in Russian and English. In case of discrepancies, the Russian text shall prevail. 10.6. The following annexes shall be deemed an integral part hereof: Annex 1. Schedule of Services Annex 2. The Form of provision of data on the chain of owners, including beneficiaries (including ultimate owners and beneficial owners) and members of the executive bodies of the Sponsored Party 11. | ПРИЛОЖЕНИЕ №1 к договору_________________ от «___»________ 2015 года г.__________________ «___»________ 2015 года Перечень услуг Спонсируемый обязуется освещать спонсорскую помощь ОАО «АК «Транснефть» при организации Фестиваля Урожая и заседания Диалога Форт Росс 2015 г. в печатных материалах и социальных сетях следующим образом: 1) Выпустить программные брошюры Фестиваля Урожая c соответствующим отображением корпоративного логотипа и размещением текста Спонсора, которые будут распространяться среди всех участников мероприятия и будут доступны также в виде загружаемого файла в формате PDF с сайта www.fortross.org/festival.htm. Текст размещается на последней странице программы и предоставляется Спонсором. 2) Разместить логотип Спонсора на плакатах Фестиваля Форт Росс, вывешенных в Северной Калифорнии и доступных в виде загружаемого PDF файла с сайта www.fortross.org/festival.htm 3) Разместить логотип Спонсора на странице Общества по сохранению Форт Росс в интернете: www.fortross.org/festival.htm 4) Включить логотип Спонсора во все пресс-релизы, направленные в главные и местные средства массовой информации. Услуги, указанные в настоящем Приложении № 1, оказываются в срок с 15 сентября 2015 г. по 15 ноября 2015 г. | ANNEX #1 to the Agreement ____________________ dd._________ ___, 2015 the city of __________________ _____, 2015 Schedule of Services The Sponsored Party undertakes to recognize the sponsorship of Transneft for the organization of Harvest Festival and Fort Ross Dialogue Session 2015 in written materials and social media in the following way: 1) To issue Harvest Festival program brochures with a proper display of the Sponsor’s corporate logo and text to be distributed to all the event attendees and available as a downloadable PDF from www.fortross.org/festival.htm. The text is to be placed on the last page of the program and to be provided by the Sponsor. 2) To place sponsor’s logo on the Fort Ross Festival posters, distributed across Northern California and available as a downloadable PDF at www.fortross.org/festival.htm 3) To place sponsor’s logo on the Fort Ross Conservancy web page: www.fortross.org/festival.htm 4) To include Sponsor’s logo into all press releases sent to major and local media. The services stipulated in this Annex #1 shall be provided from September 15, 2015 to November 15, 2015. |
